1. Acceptance
These Terms of Service ("Terms") govern your access to and use of Voleron (the "Service"), including the website at voleron.io, dashboards, APIs, exports, and related services.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
2. Definitions
"Content" means all text, data, software, designs, interfaces, and other materials available through the Service.
"Outputs" means any rankings, scores, strategy structures, simulations, scenario metrics, exposure estimates, charts, calculations, and other analytical results produced by the Service (including via API or export).
"Subscription" means any paid plan, trial, or billing arrangement for the Service.
"API" means programmatic access methods and endpoints we provide.
"Export" means any data you download or receive from the Service, including CSV/JSON.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for complying with all laws and regulations applicable to your use of the Service.
4. Nature of the Service
The Service is a quantitative analytics platform that generates model-ranked options strategy structures, exposure estimates, and scenario simulations derived from market and implied-volatility data.
The Service is intended solely for research, analysis, and educational use. The Service is not a brokerage, an order-routing service, or an execution venue.
5. No Investment Advice
THE SERVICE DOES NOT PROVIDE INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, TAX ADVICE, OR LEGAL ADVICE.
Nothing on the Service constitutes a recommendation to buy, sell, hold, or enter into any security, derivative, or other financial instrument or strategy.
6. No Solicitation
Nothing on the Service constitutes an offer, solicitation, or endorsement of any transaction in securities or derivatives. You acknowledge that any decisions you make are made independently by you.
7. No Fiduciary Relationship
Use of the Service does not create a fiduciary, advisory, broker-client, agency, partnership, or joint venture relationship between you and Voleron LLC.
8. Suitability
The Service is designed for experienced users familiar with derivatives markets. It may not be suitable for all investors.
You are responsible for determining whether any strategy, analysis, or Output is appropriate for your circumstances, including your objectives, financial situation, and risk tolerance.
If you are uncertain about risks or suitability, you should consult licensed professionals.
9. Outputs and Non-Reliance
Outputs are generated using quantitative models and automation and may be based on delayed, incomplete, or imperfect data. Outputs may be wrong, incomplete, or misleading.
Outputs are research tools. They are not instructions and must not be relied upon as a substitute for independent research, professional advice, or your own judgment.
You agree that you will not represent the Service or Outputs as personalized advice, signals, or recommendations.
10. Hypothetical Performance
Scenario outputs, simulations, and any hypothetical or backtested results are illustrative only and have inherent limitations.
Hypothetical results may differ materially from live trading outcomes due to slippage, spreads, liquidity, execution timing, volatility changes, corporate actions, and other factors.
Past performance is not indicative of future results.
11. Market Data Accuracy and Availability
Market data and derived analytics may be delayed, incomplete, inaccurate, or unavailable. We do not guarantee the accuracy, completeness, timeliness, or availability of any Content or Outputs.
We may change data sources, methodologies, or calculations at any time.
12. Account Registration and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to notify us promptly of any unauthorized access or security incident relating to your account.
13. Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Outputs for your internal analytical purposes.
You may not use the Service or Outputs for any purpose not expressly permitted by these Terms.
14. Prohibited Use
You agree not to, and not to allow others to:
- –Redistribute, resell, sublicense, publish, or otherwise make available Outputs or Exports to third parties without our written permission
- –Operate a signal service, advisory service, or public feed using Outputs or Exports
- –Use Outputs or Exports as direct machine instructions for automated execution without independent human review
- –Scrape, harvest, or extract data from the Service via bots, spiders, or automated means except via the API as permitted
- –Reverse engineer or attempt to derive source code, models, scoring, or underlying methodology except where prohibited by law
- –Circumvent rate limits, access controls, or security protections
- –Share account credentials or allow concurrent access beyond your Subscription limits
15. API and Exports (CSV/JSON)
If the Service provides API access or Exports, they are provided for your internal research use only, unless we expressly agree otherwise in writing.
You must comply with our API Policy at /legal/api-policy and any documentation or rate limits we publish.
We may monitor usage to protect the Service and may rate-limit, suspend, or revoke API/export access for misuse or excessive load.
16. Intellectual Property
The Service, Content, and Outputs (excluding any data you lawfully provide) are owned by Voleron LLC or its licensors and are protected by intellectual property laws.
No rights are granted to you except the limited license expressly stated in these Terms.
17. Feedback
If you provide suggestions, ideas, or feedback, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without compensation.
18. Third-Party Services and Links
The Service may integrate with or reference third-party services (including payment processors, hosting, authentication providers, and data providers).
We are not responsible for third-party services, and your use of third-party services is governed by their terms and policies.
19. Subscriptions; Billing; Refunds
Paid Subscriptions, if offered, are billed in advance through Stripe or another processor disclosed at checkout. We do not store payment card details.
Subscriptions may renew automatically unless canceled. Cancellation typically takes effect at the end of the current billing period.
Refund policy: Monthly subscriptions are non-refundable; annual refunds, if offered, are described in the Subscription section..
20. Payment Disputes and Chargebacks
Unauthorized chargebacks, fraudulent activity, or abusive payment disputes may result in temporary suspension of account access while the matter is investigated.
We may provide transaction evidence, communications, and account usage records to payment processors and financial institutions to resolve disputes.
Repeated or abusive disputes may result in termination and denial of future service.
21. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Voleron LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
23. Indemnification
You agree to indemnify, defend, and hold harmless Voleron LLC and its owners, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law or regulation, or (d) your infringement or misappropriation of any third-party rights.
24. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement below.
25. Dispute Resolution; Binding Arbitration (California Venue)
PLEASE READ THIS SECTION CAREFULLY. It affects your rights.
Informal Resolution: Before starting arbitration, you agree to contact us at legal@voleron.io and attempt in good faith to resolve the dispute informally.
Opt-Out: You may opt out of arbitration within thirty (30) days of first accepting these Terms by sending written notice to legal@voleron.io and support@voleron.io with your name, account email, and a clear statement that you are opting out of arbitration. If you opt out, the class action waiver below still applies to the maximum extent permitted by law.
Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration on an individual basis, not in court, except where prohibited by law.
Venue: The arbitration shall take place in Contra Costa County, California, unless the parties agree otherwise.
Small Claims Exception: Either party may seek relief in small claims court for disputes within that court’s jurisdiction.
Injunctive Relief for IP/Security: We may seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access, scraping, or misuse.
Severability: If any part of this arbitration agreement is found unenforceable, the remainder will remain in effect to the maximum extent permitted by law.
26. Class Action Waiver
You and we agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
27. Termination
We may suspend or terminate access to the Service at any time if we reasonably believe you have violated these Terms or if required to protect the Service, our users, or our legal obligations.
You may stop using the Service at any time.
28. Electronic Communications
By using the Service, you consent to receive communications from us electronically (e.g., email or in-product notices). You agree that electronic communications satisfy any legal notice requirements.
29. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
30. Force Majeure
We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including outages, acts of God, labor disputes, internet or hosting failures, or governmental actions.
31. Severability; Waiver; Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision will not be deemed a waiver.
These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements on the subject.

33. Changes to Terms
We may update these Terms from time to time. The "Last Updated" date will reflect the most recent changes. Your continued use after an update constitutes acceptance of the updated Terms.
